Terms of Service
These Terms of Service ("Terms") govern your access to and use of TickCounter.com and related services (the "Service").
These Terms are entered into between you and TickCounter ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
You must be at least 13 years old, or the minimum age required in your country, to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

License to use the Service
Unless otherwise stated, TickCounter and its licensors own all intellectual property rights in the Service and materials published on the Service. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.
You may not reproduce, duplicate, copy, sell, resell, rent, sublicense, or exploit any portion of the Service without prior written permission.
Accounts and security
Certain features of the Service may require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
You agree to provide accurate and complete information and to keep your account information updated.
Acceptable use
You may not use the Service in any way that:
- violates any applicable law or regulation;
- infringes the rights of others;
- disrupts, damages, or interferes with the Service;
- attempts unauthorized access to systems or accounts;
- distributes malware, spyware, viruses, or other malicious software;
- uses automated systems or bots in a manner that excessively burdens the Service;
- facilitates fraudulent, abusive, or harmful activity.
Paid plans
TickCounter offers a Lifetime plan as a one-time purchase for premium access tied to the account that bought it.
"Lifetime" means for as long as TickCounter commercially operates the Service, not your personal lifetime. Lifetime access remains subject to these Terms, including termination for breach or abuse.
The Lifetime plan has no recurring charges and includes ongoing access to the premium tier you purchased.
We may change features, packaging, and product names over time. Future products, add-ons, or higher tiers may require a separate purchase, but we aim to preserve comparable core premium value for existing Lifetime customers.
If we permanently discontinue the Service, Lifetime access ends when the Service ends, except where applicable law requires otherwise.
Lifetime benefits are personal to your account and non-transferable. We may stop offering Lifetime as a purchase option for new customers at any time without affecting Lifetime benefits already granted under these Terms.
Payments and billing partners
Paid plans are billed through our payment partner – Stripe.com.
For many purchases, Stripe processes payments with TickCounter as the seller of access to the Service, and Stripe handles card and payment data subject to Stripe's Privacy Policy.
For certain purchases, Stripe—including through Link—acts as merchant of record for your purchase of digital goods or services from us. TickCounter still supplies the Service to you under these Terms; Stripe's role as merchant of record concerns the payment and sale of that access for billing and tax purposes. Where Stripe is merchant of record, Stripe may calculate, collect, and remit applicable indirect taxes (such as VAT, sales tax, or GST), depending on your location and the transaction. Those transactions may show as sold through Link at checkout and on your receipt. Additional terms that apply to buyers in that model include Link's Terms of Service. Stripe may send receipts, invoices, refund or credit notes for those purchases. Payment- and order-related support for those transactions is handled by Stripe; product questions about TickCounter should still be directed to us at tickcounter@tickcounter.com.
Subscriptions (legacy)
TickCounter has also offered paid subscription plans, which are no longer available to new customers. Existing subscriptions renew at the end of each billing period unless canceled before the renewal date.
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of the current billing period.
Refund policy
Lifetime plan purchases and legacy subscription payments are covered by a 60-day money-back guarantee from the original purchase date or subscription payment date. Refund requests submitted within that period will be honored, no questions asked.
After that period, payments are non-refundable, including for Lifetime plan purchases and partially used subscription periods, unless otherwise required by applicable law.
Third-party services
The Service may integrate with or rely on third-party providers, including payment processors, hosting providers, analytics services, and content delivery networks.
We are not responsible for the availability, functionality, or practices of third-party services.
Availability and changes to the Service
We continuously improve the Service and may modify, suspend, or discontinue parts of the Service from time to time. Where reasonably possible, we will provide advance notice of material changes.
We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
Unless explicitly stated in a separate written agreement, TickCounter does not provide any guaranteed uptime or service-level agreement.
Force majeure
TickCounter shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting failures, denial-of-service attacks, power outages, governmental actions, or failures of third-party providers.
Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, TickCounter disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and availability.
Limitation of liability
To the fullest extent permitted by applicable law, TickCounter and its affiliates, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of the Service.
To the fullest extent permitted by applicable law, TickCounter shall have no liability arising out of or relating to the Service or these Terms.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
Indemnification
You agree to indemnify and hold harmless TickCounter, its affiliates, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of or related to:
- your use of the Service;
- your User Content;
- your violation of these Terms;
- your violation of any rights of another party.
Termination
You may stop using the Service at any time.
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, abused the Service, or created legal or security risks.
Upon termination, your right to use the Service will immediately cease.
We may delete associated account data and User Content after termination in accordance with our Privacy Policy.
Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.
Changes to these Terms
We may update these Terms from time to time. Updated Terms become effective upon posting on this page.
Your continued use of the Service after revised Terms are posted constitutes your acceptance of the updated Terms.
Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and TickCounter regarding your use of the Service and supersede all prior agreements and understandings.
Assignment
You may not assign or transfer any rights or obligations under these Terms without our prior written consent.
We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of Poland, without regard to conflict of law principles.
Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Poland.
If you are a consumer residing in the European Union, nothing in these Terms limits any mandatory consumer rights or protections available to you under applicable law.
